Sažetak
Thesis describes theoretical models of liability of juristic persons for criminal offences. In the first place author examines identification theory, alter ego doctrine (controlling mind doctrine) and vicarious doctrine on another side of the same spectrum. Also, the author analyses attributions of liability which one can connect with so called organic theories. Major legal systems of Civil and Common Law traditions are covered in this doctorate and specially in connection with the different approaches to 'mens rea' principles. Special attention is given to Croatian and Central and East European Legal Systems since those did not have that form of liability ever before. Continental law was always dunked in the firm rule 'societas delinquere non potest' which meant that Criminal Law is reserved just for natural persons. This is major theoretical obstacle in application of that liability. Author gives few solutions which would enable law makers and users (e.g. judges) to be most appropriate, equitable and just.
