Sažetak
The board is an important internal mechanism of corporate governance. Due to its position in the corporation it is a kind of mediator between shareholders and top management. The effectiveness of the Supervisory Board is defined by the quality, that is, by efficient performance of its tasks in assuming these three roles. In this study we develop an index of the Supervisory Board efficiency as a composite measure consisting of five key areas: 1) selection of quality top management and replacement of underperforming ones ; 2) selection of an appropriate level of managerial discretion ; 3) a balance between control mechanisms and trust in top management ; 4) appropriate ratio between fixed and variable compensation of top management and 5) the appropriate level of participation in the preparation, authorization, evaluation and monitoring of strategic decisions. We have empirically tested the index on a sample of Croatian public companies.
