Sažetak
This is a comment prepared exclusively for the purpose of presenting author’s positions on the topic addressed by Axel Metzger at the CLIP Conference held on 4 and 5 November 2011 in Berlin. The role of party autonomy in determining the law applicable to contracts is exceptionally important for a number of reasons guaranteeing its status of the universally acceptable primary connection. Several recent legal instruments reaffirm this supreme status, including those relevant to the field of intellectual property contracts. This equally applies to scientific projects conducted by the American law institute, Transparency Proposal, and Joint Japanese and Korean Principles, as well as the Max Planck Group for Conflict of Laws in Intellectual Property whose Principles are in the focus of this conference. The paper addresses number of issues related to party autonomy in IP contracts, including the tacit choice of law, inter-state contracts, default rule as well as the scope of the lex contractus.
