Sažetak
Finnally adopted the Takeover EU Directive will introduce significant measures of harmonization and will establish a framework for the protection of shareholders throughout the European Union.The directive includes the minimum standards and because of that will enable and minimum harmonization of the takeover law in the frame of the EU.The author especially pointed interest on the management's position and its possibility of trading with the Target Company's shares on the base of inside information.
