Sažetak
Over the past two decades, research on board composition and diversity has grown rapidly. Concurrently, despite some progress in recent years, women remain significantly underrepresented on boards across all industries. Studies show that even in best performing sectors women make up less than one-fifth of board membership. As gender diversity in the boardroom has been confirmed related to various organization-level performance outcomes, the question of getting more women on boards occupies much of the scholarly interest and public debate. Within this field, one stream of research is focusing on how boardroom diversity influences diversity across other organizational levels, particularly upper management. Existing empirical evidence suggests that having women on boards could have a positive spillover effect - lead to greater representation of women in managerial roles. However, the organizational and institutional factors leading to this effect remain understudied. This paper attempts to provide a better understanding of factors that lead to the positive spillover effect and propose an agenda to guide future studies. To address this question, a comprehensive literature review of articles published in the past two decades was conducted. We choose to examine both articles on boardroom diversity in the Anglo-American and Continental corporate governance systems. Our analysis was based on a systematic review method which enabled us to highlight the evolution of the literature, identify research streams and dominant theoretical approaches, and reveal distinct areas within the spillover effect research. Our findings contribute to the growing body of research on diversity, inclusion, and equity in corporate governance. Based on our analysis we provided a conceptual framework for studying the relationship between boardroom diversity and diversity in other organizational groups. The findings also add to the understanding of how companies benefit from having more gender-diverse boards. Building upon the findings of our research, recommendations, and avenues for future studies are proposed and discussed.
