Sažetak
Article 423 Companies Act provides that the court shall appoint ex officio or at the request of an interested party a temporary manager when the respective limited liability company does not have any management or when the number of directors falls below the minimum determined by the memorandum of association. It also provides that the temporary manager shall see to the appointment of the new board of directors and to the management of company affairs which may not be delayed. This paper will elaborate upon the appointment, purpose, rights, and the duties of the temporary manager in the limited liability company. Hopefully, this will help clear practical and legal uncertainties related to such court appointed company management and contribute to legal certainty in situations where company management is insufficient.
