Effective legal protection of knowledge, experience and business secrets are essential for preserving of the competitiveness of companies in the market. Within the European Union, as a single market, there is no single concept of business secrets, and also there is no harmonized legal protection. The European Parliament and the Council brought, by the end of 2013, the Directive Proposal on the protection of undisclosed knowledge" urrd experience and business information (business secrets) of unauthorized acquisition, use and disclosure. This paper analyzes the text of the Directive Proposal in comparison with the existing legal solutions in the Republic of Croatia and the Republic of Serbia. The aim is of this paper is to point out the importance of quality legal framework for the protection of business secrets as to achieve the loyal market competition and strengthen the competitiveness of companies regardless of their size.
