Subsequently, the author of the work says conceptual definition of corporate governance with a focus on the area and the main characteristics of corporate governance. Describes and models of corporate governance. In the chapter called agency theory in the system of corporate governance, the author focused on the display base agency theory and analyzes the agency relationship in corporate governance. Special attention is paid to the agency's relation to corporate governance, the supervisory board observed from the perspective of agency theory and the limits of agency theory. The theory of service as a negation of agency theory has been dealt with by the author in chapter 5, and in the sixth chapter an example of franchise business and agency theory is shown. At the end of the work, a comprehensive conclusion is given.
