The importance of separating ownership from management for corporate development
Observing the growth and development of joint stock companies and corporations and comparing trends and issues occurring in the world as well as the Croatian market we can conclude that this topic is up to date as can be seen in a number of processes in the Croatian market related to corporate reorganization. This paper attempts to define the basic assumptions of a joint stock company through its historical origin and explains the turning point that establishes the importance of a joint stock company at the time of the process of separating ownership from management. In addition to the complexity of the joint stock company, this paper explains the goals of the joint stock company, which in addition to increasing the market price of shares had to maximize economic profit and discounted cash flow so as to achieve the final effect of maximizing the value of the company.
